1. Note when naming a business

Before naming a company, you should consult and look up the name on the National Portal for Business Registration. According to the provisions of Article 38, Article 41 of the Enterprise Law 2020, the cases of naming the same or causing confusion with the registered enterprise name are as follows:

– Naming the same as the name of the registered enterprise: The Vietnamese name of the enterprise applying for registration must be read like the name of the registered enterprise;

– Naming confusingly with the name of a registered enterprise, including:

• The Vietnamese name of the enterprise applying for registration must be read like the name of the registered enterprise;
• The abbreviated name of the enterprise applying for registration is the same as the abbreviated name of the registered enterprise;
• The name in a foreign language of the enterprise applying for registration is the same as the name in a foreign language of the registered enterprise;
• The proper name of the enterprise requested for registration is only different from the proper name of an enterprise of the same type already registered by a natural number, an ordinal number or a letter in the Vietnamese alphabet, letters F, J, Z, W is written immediately or immediately after the proper name of that enterprise;
• The proper name of the enterprise applying for registration is only different from the proper name of an enterprise of the same type already registered by a symbol “&” or “and”, “.”, “,”, “+”, “-“, “_”;
• The proper name of the enterprise applying for registration is only different from the proper name of an enterprise of the same type already registered by the word “tan” right before or the word “new” written immediately or immediately after or before the proper name of the registered enterprise. sign;
• The proper name of the enterprise requested for registration is only different from the proper name of an enterprise of the same type already registered by a phrase “North”, “South”, “Central”, “Western”, “Eastern”. ;
• The proper name of the enterprise is the same as the proper name of the registered enterprise.

– Using names of state agencies, units of people’s armed forces, names of political organizations, socio-political organizations, socio-political-professional organizations, social organizations, organizations social – profession to do all or part of the proper name of the enterprise, unless approved by that agency, unit or organization.

– Using words and symbols that violate the historical, cultural, ethical and fine traditions of the nation.

2. Business name change file

– Notice of change of business registration contents signed by the legal representative of the enterprise (Appendix II-1 Circular No. 01/2021/TT-BKHDT).

– A copy of the meeting minutes of the Members’ Council, for limited liability companies with two or more members, partnerships, of the General Meeting of Shareholders, for joint-stock companies; resolution, decision of the company owner for a single-member limited liability company on the change of the enterprise name. (The minutes must clearly state the changed contents in the company’s charter).

– Decision of the General Meeting of Shareholders for a joint-stock company / of the Members’ Council for a limited liability company with 2 or more members / of the owner in the case of a one-member limited liability company (by the Chairman of the Board of Directors). Management/Chairman of the Members’ Council/Owner sign.(The decision must clearly state the amended contents in the company’s charter).

– Power of attorney to file and receive the result of changing the company name (if any).

Dossier to change the company name will be submitted to the Business Registration Office through the enterprise’s online portal for content appraisal.

After the Business Registration Office receives the registration file, the specialist will appraise the submitted enterprise file to consider and issue a certificate of business registration change for the enterprise if the change in the registered business name is not contrary to the law. with regulations on naming enterprises.

3. Procedures after changing business name

Changing the business name will greatly affect the company’s activities, so right after changing the business name, your company needs to carry out the following procedures:

• Change information about digital signature, bank account.
• Notice of name change to partners and customers of the enterprise in writing and on the company’s website.
